01Definitions
Unit means an Ardent M1 portable signal, including its battery pack, signal head, and on-unit firmware. Platform means the Ardent fleet dashboard, API, and related services. Customer means the party named in the Order. Order means a written instruction to supply, signed by both parties or accepted via the Platform. Audit Pack means the per-job event export issued at the end of a deployment.
02The contract
The contract between Ardent and the Customer comprises (in order of precedence): the framework agreement (if any); the Order; these Terms; and the Platform’s published service description. We will tell you, in writing, before any clause of these Terms is varied for your account.
We do not accept Customer’s standard terms unless explicitly counter-signed by an Ardent director. Purchase order conditions on the back of a PO have no effect.
03Hire and delivery
3.1 Title and risk
Title to a hired Unit remains with Ardent at all times. Risk transfers on delivery and reverts on collection. The Customer is responsible for the Unit while in their possession, including loss, theft, and damage beyond fair wear and tear.
3.2 Commissioning
Each Unit is commissioned by an Ardent-approved operator at the start of every job, against a job ticket. A Unit not commissioned in this way is not under contract and Ardent’s service level does not apply.
3.3 Recovery
The Customer will return Units within 48 hours of job end. Late returns are charged at the published daily rate.
04Platform and data
4.1 Licence
We grant the Customer a non-exclusive, non-transferable licence to access the Platform during the term of the Order, for the Customer’s internal use.
4.2 Telemetry ownership
Telemetry generated by a Unit on a Customer’s job is the Customer’s data. Ardent processes it as data processor on the Customer’s behalf. Aggregated and anonymised statistics (counts, uptime ratios, regional rollups) may be used by Ardent for fleet analytics and the public Fleet page.
4.3 Audit Pack
An Audit Pack is issued within 10 working days of job end. It contains the per-job event log, signed by Ardent, and is suitable for procurement review. We retain a hashed copy for 6 years (see Privacy §06).

The Audit Pack is the contractual record of unit behaviour during the deployment. Where a dispute arises, the Pack is the canonical reference – not radio logs, not email threads.
05Service levels
Ardent commits to the following service levels for hired Units, measured monthly across the Customer’s deployed fleet:
- Uptime– 99.5% of unit-hours on a job displaying an intended state.
- Response– on-call engineer reachable within 60 minutes, 24/7.
- Site attendance– within 9 hours of an SLA-eligible callout, within the M25 (or 4 hours where premium-tier).
- Audit Pack– issued within 10 working days of job end.
Service credits apply where SLAs are missed: 5% of monthly hire fee per missed SLA, capped at 25%. SLAs do not apply where a fault is caused by Customer misuse, third-party damage, or force majeure (clause 9.4).
06Charges and payment
Hire is invoiced monthly in arrears against deployed unit-days. Standard payment terms are 30 days from invoice date. Public-sector framework rates override the published list price where applicable.
Late payments accrue statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998. Disputed invoices must be raised in writing within 14 days; undisputed portions remain payable.
07Liability
Nothing in these Terms limits Ardent’s liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law.
Subject to the above, Ardent’s total liability under any Order is capped at the greater of (a) 100% of the charges paid in the 12 months preceding the claim, or (b) £500,000. Ardent is not liable for indirect or consequential loss, including loss of profit, contract, or business interruption.
08Termination
Either party may terminate an Order on 30 days’ written notice. Either party may terminate immediately for material breach not remedied within 14 days, or on insolvency.
On termination: outstanding charges become due; deployed Units must be returned within 14 days; the Audit Pack for each completed job is issued in the normal course.
09General
9.1 Notices
Notices to Ardent: legal@ardent.co, copied to the registered office. Notices to the Customer: as recorded on the Order.
9.2 Assignment
Neither party may assign the contract without consent, except that Ardent may assign to a successor in business.
9.3 Modern Slavery & Anti-bribery
Both parties comply with the Modern Slavery Act 2015 and the Bribery Act 2010. We publish an annual statement at ardent.co/modern-slavery.
9.4 Force majeure
Neither party is liable for delay caused by events outside reasonable control: industrial action affecting third parties, natural events, network outages of more than four hours, government action.
9.5 Governing law
These Terms are governed by the laws of England & Wales. The courts of England have exclusive jurisdiction.
